TEXAS ACADEMY OF MATHEMATICS AND SCIENCE
Corporations Section
We the undersigned natural persons of the age of twenty-one
years or more, at least two of whom are citizens of the State of
Texas, acting as incorporators of a corporation under the Texas
Business Corporation Act, do hereby adopt the following Articles of
Incorporation for such corporation:
ARTICLE I: NAME
The name of the corporation is Parents' Council, Texas Academy
of Mathematics and Science.
ARTICLE II: STATUS
The corporation is a non-profit corporation.
ARTICLE III: DURATION
The period of its duration is perpetual.
ARTICLE IV: PURPOSE OR PURPOSES
The purpose for which the corporation is organized is:
(a) To promote the Texas Academy of Mathematics and Science in
Denton, Texas and provide support to the students and staff. This
purpose is further specified as including but not necessarily
limited to directing fund raising efforts to support these activi-
ties, to provide a parents' advisory board to serve at the request
of the Academy on student issues, and to engage in all activities
which the board of directors feel is necessary for the betterment
of the Texas Academy of Mathematics and Science.
(b) ihe purpose or purposes of this corporation shall never
be in conflict with the purposes of the Texas Academy of
Mathematics and Science or the University of North Texas as deter-
mined by the Director of the Academy and the Chancellor of the
University of North Texas and/or the majority of the board of
regents of University of North Texas, nor shall it be in conflict
with any rules and regulations of the Texas Education Agency.
ARTICLE V: USE OF EARNINGS
No part of the net earnings of the corporation shall inure to
the benefit of, or be distributed to its members, directors, offi-
cers, or other private persons, except that the corporation shall
be authorized and empowered to pay reasonable compensation for
services rendered and to make payments and distributions infurtherance of the purposes set forth in Article IV hereof.
